Project Reverie — Terms of Service
Last updated: 22 April 2026 Effective: 22 April 2026
1. Who we are
These Terms of Service ("Terms") are a legal agreement between you ("you", "your", or "User") and OM Connect Sdn Bhd (Company No. 1017397-U), a company incorporated in Malaysia with its registered office at C-1-05, Centum @ Oasis Corporate Park, No. 2, Jalan PJU 1A/2, Ara Damansara, 47301 Petaling Jaya, Selangor, Malaysia ("Project Reverie", "we", "us", or "our").
Project Reverie operates a generative AI platform (the "Service") that allows users to create images, videos, and related media using third-party AI models made available through our platform.
2. Acceptance
By creating an account, accessing, or using the Service, you confirm that:
(a) you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Acceptable Use Policy, and Content & IP Policy (together, the "Agreements");
(b) you are at least 18 years old, or the legal age of majority in your jurisdiction, whichever is higher;
(c) you have the legal capacity to enter into a binding contract; and
(d) if you are using the Service on behalf of an organisation, company, or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
If you do not agree to any part of the Agreements, you must not use the Service.
3. The Service
3.1 What Project Reverie provides
Project Reverie provides a hosted interface to generative AI models (the "Models") operated by third-party providers including, without limitation, ByteDance and its affiliates (BytePlus, Volcengine). We do not own, train, or operate the underlying Models. We provide the interface, prompt engineering, workflow templates, content moderation, billing, and user support.
3.2 How generations work
When you submit a prompt, reference image, audio, or video (together, "Inputs") to the Service, we transmit your Inputs to one or more Models to produce an output file ("Output"). Output quality, style, accuracy, and compliance with your prompt are determined by the Models and are inherently probabilistic. We do not guarantee any specific result, and two identical prompts may produce different Outputs.
3.3 Availability
We aim to keep the Service available, but we do not guarantee uninterrupted access. The Service may be unavailable due to:
(a) scheduled maintenance;
(b) outages or changes at upstream Model providers;
(c) content moderation holds;
(d) events outside our reasonable control (force majeure).
We will make commercially reasonable efforts to notify you of scheduled downtime.
3.4 Changes to the Service
The Models, features, pricing, and Output capabilities may change at any time. Specifically, you acknowledge that underlying Models may be updated, deprecated, or replaced by their providers, and this may affect Output results. We may add or remove features, presets, or workflows without individual notice.
4. Accounts
4.1 Registration
You must register an account to use the Service. You agree to:
(a) provide accurate, current, and complete information;
(b) keep your account information up to date;
(c) keep your password and login credentials confidential;
(d) accept responsibility for all activity under your account.
You must notify us immediately at [email protected] if you suspect unauthorised access to your account.
4.2 Account types
The Service is currently offered as individual accounts only. Each account is tied to one user and is responsible for its own access credentials, billing, and compliance with these Terms.
4.3 Eligibility
You must not use the Service if you are:
(a) located in, or a resident of, any country subject to Malaysian or applicable international sanctions;
(b) listed on any sanctions or denied-parties list; or
(c) prohibited by law from using generative AI services.
5. Billing, Credits, and Subscriptions
5.1 Pricing model
Project Reverie uses a hybrid billing model consisting of:
(a) Subscriptions: recurring monthly or annual plans that include a monthly allocation of Credits plus certain plan features (the "Subscription"); and
(b) Top-up Credits: additional pre-paid units purchased outside a Subscription (the "Top-up Credits").
Together, Subscription-allocated Credits and Top-up Credits are referred to as "Credits". Current pricing is published at /settings/billings and is incorporated into these Terms by reference.
5.2 How Credits are consumed
Each generation consumes a number of Credits determined by the Model used, resolution, duration, and features. The Credit cost of any given action is displayed before you confirm the generation. Credits are consumed when a generation is submitted successfully, regardless of whether you use, download, or are satisfied with the Output, subject to Section 5.6 (Failed Generations).
5.3 Subscription terms
(a) Subscriptions renew automatically at the end of each billing period until cancelled.
(b) You may cancel your Subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then.
(c) Subscription-allocated Credits expire at the end of each billing period and do not roll over, unless stated otherwise in your plan.
(d) We may change Subscription pricing with at least 30 days' prior notice by email or in-app notification. Price changes take effect at your next renewal.
5.4 Top-up Credits
(a) Top-up Credits are purchased in discrete bundles and are non-refundable once issued, except as required by applicable law.
(b) Top-up Credits expire 12 months after the date of purchase if unused.
(c) When consuming Credits, the Service will deduct Subscription-allocated Credits first, then Top-up Credits (first-in, first-out by expiry).
5.5 Payment
(a) You authorise us, or our payment processor, to charge your selected payment method for all fees due.
(b) All fees are stated in MYR and are exclusive of applicable taxes (including Malaysian Sales and Service Tax, where applicable), which will be added at checkout.
(c) If a payment fails, we may suspend your access to the Service until payment is resolved.
(d) You are responsible for any bank, card, or currency-conversion fees charged by your payment provider.
5.6 Failed generations
If a generation fails due to a technical error on our side or the Model provider's side (but not due to moderation blocks, prompt issues, or your own account misconfiguration), the Credits for that generation will be refunded to your account balance automatically. "Failed" means the generation did not return any Output within a reasonable time.
5.7 Refunds
(a) Subscriptions: you may request a refund of your most recent Subscription payment within seven (7) days of the charge, provided you have consumed less than 20% of that period's Credit allocation. Outside this window, Subscription fees are non-refundable.
(b) Top-up Credits: non-refundable once purchased, except where required by Malaysian law.
(c) Refunds, where granted, are issued to the original payment method.
5.8 Chargebacks
If you initiate a chargeback or payment dispute without first contacting us to resolve the issue, we may suspend or terminate your account and pursue recovery of any disputed amounts, including reasonable collection costs.
6. Your content and licences
This section should be read together with our Content & IP Policy, which forms part of these Terms.
6.1 Your Inputs
You retain all ownership rights in the Inputs you submit. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, process, and display your Inputs solely for the purpose of operating the Service, delivering Outputs to you, providing support, and complying with law. This licence ends when you delete your Inputs, except for backups retained for a reasonable period and for records we are legally required to keep.
6.2 Your Outputs
Subject to payment of all fees due and your compliance with the Agreements, we assign to you any rights we hold in the Outputs generated from your Inputs, to the fullest extent such rights exist and are transferable under applicable law. You may use Outputs for personal and commercial purposes, subject to:
(a) the restrictions in the Acceptable Use Policy and Content & IP Policy;
(b) any restrictions imposed by upstream Model providers (which we will pass through to you where known); and
(c) Section 6.3 below.
6.3 Important limitations on Output rights
You acknowledge and agree that:
(a) AI-generated outputs may not attract copyright protection in Malaysia or other jurisdictions, meaning you may not be able to claim exclusive rights over Outputs against third parties;
(b) Other users may generate substantially similar Outputs using similar prompts;
(c) Outputs may unintentionally resemble existing copyrighted works, trademarks, or real persons, and it is your responsibility to check Outputs for such resemblance before public use;
(d) we make no warranty that any Output is original, non-infringing, or free from third-party rights.
6.4 Service Content
All elements of the Service other than your Inputs and Outputs — including the platform interface, presets, workflows, prompt templates, brand elements, documentation, and code — are owned by Project Reverie or our licensors and are protected by intellectual property laws. You receive only the limited right to use them as expressly granted in these Terms.
6.5 Feedback
If you send us feedback, suggestions, or ideas about the Service, we may use them without any obligation to you, and you grant us a perpetual, irrevocable, royalty-free licence to do so.
7. Acceptable use and prohibited content
Your use of the Service is governed by our Acceptable Use Policy, which is incorporated into these Terms. Violations of the Acceptable Use Policy may result in immediate suspension or termination of your account, forfeiture of unused Credits, and legal action where appropriate.
8. Third-party Models and services
8.1 Pass-through terms
You acknowledge that the Models are provided by third parties and are subject to those providers' terms and content policies. Currently, the Service uses Models from ByteDance/BytePlus including but not limited to the Seedance and Seedream model families. By using the Service, you agree to comply with any applicable upstream provider terms that we make available to you or that apply to end users by their nature.
8.2 Changes by providers
Upstream Model providers may change their terms, pricing, content policies, or availability at any time. We will reflect material changes in the Service as promptly as reasonably possible. You agree that we are not liable for changes made by upstream providers.
8.3 Data processing by Models
To generate Outputs, your Inputs are transmitted to Model providers. This is explained in detail in the Privacy Policy. By using the Service, you consent to this transmission.
9. Moderation, suspension, and termination
9.1 Content moderation
We use automated and, where necessary, human review to detect Inputs and Outputs that violate the Agreements, applicable law, or Model provider policies. We may:
(a) block a specific generation;
(b) remove Outputs from the Service;
(c) warn, suspend, or terminate accounts; and
(d) report unlawful activity to authorities.
Moderation decisions are made at our reasonable discretion, and we do not owe you a detailed explanation of every block, although we will provide general reasons where practicable.
9.2 Suspension
We may suspend your access to the Service, in whole or in part, with or without notice, if:
(a) we reasonably suspect a violation of the Agreements;
(b) your payment is overdue;
(c) your account activity creates risk to the Service, other users, or us;
(d) we are required to do so by law, regulation, or our upstream providers.
9.3 Termination by you
You may terminate your account at any time from your account settings or by contacting [email protected]. Termination ends future charges but does not entitle you to a refund except as set out in Section 5.7.
9.4 Termination by us
We may terminate your account:
(a) immediately for material breach of the Agreements;
(b) immediately if continued service would cause us legal or regulatory risk;
(c) for any reason on 30 days' notice, in which case we will refund any unused, unexpired, pre-paid Credits on a pro-rata basis.
9.5 Effect of termination
On termination:
(a) your right to use the Service ends immediately;
(b) we may delete your Inputs and Outputs after a reasonable retention period;
(c) Sections that by their nature should survive (including Sections 6, 10, 11, 12, 13, 14) will survive.
10. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or that the Service will be uninterrupted, secure, or error-free.
Without limiting the above, we do not warrant that:
(a) Outputs will meet your expectations or requirements;
(b) Outputs will be free from bias, errors, or objectionable content;
(c) Outputs will not infringe third-party rights;
(d) the Service will be available at any particular time or location;
(e) defects will be corrected.
You assume full responsibility for your use of Outputs, including any public distribution or commercial deployment.
11. Indemnity
You agree to defend, indemnify, and hold harmless Project Reverie, OM Connect Sdn Bhd, and our officers, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
(a) your Inputs;
(b) your use of Outputs, including any public distribution or commercial exploitation;
(c) your violation of the Agreements;
(d) your violation of applicable law;
(e) your violation of any third-party right, including intellectual property, privacy, publicity, or personality rights;
(f) any chargeback, dispute, or fraudulent payment activity originating from your account.
We reserve the right to assume exclusive defence and control of any matter subject to indemnification, in which case you agree to cooperate with our defence.
12. Limitation of liability
To the fullest extent permitted by law:
(a) We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or loss of goodwill, arising from or related to your use of the Service, whether based in contract, tort, strict liability, or any other theory, and whether or not we were advised of the possibility of such damages.
(b) Our aggregate liability to you for all claims arising out of or relating to the Agreements or the Service will not exceed the greater of: (i) the total fees you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim; or (ii) MYR 500.
(c) Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for fraud, death, or personal injury caused by our negligence.
13. Governing law and disputes
13.1 Governing law
These Terms are governed by the laws of Malaysia, without regard to its conflict-of-laws rules.
13.2 Dispute resolution
The parties will first attempt to resolve any dispute amicably through good-faith negotiation. If a dispute is not resolved within 30 days, it will be referred to and finally resolved by arbitration administered by the Asian International Arbitration Centre (AIAC) in Kuala Lumpur, in accordance with the AIAC Arbitration Rules in force at the time, by a sole arbitrator, in the English language. Judgment on the award may be entered in any court of competent jurisdiction.
13.3 Courts
Notwithstanding Section 13.2, either party may seek injunctive or equitable relief in the courts of Malaysia.
14. General
14.1 Changes to these Terms
We may revise these Terms from time to time. If we make material changes, we will notify you by email or in-app notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and may request a refund of unused pre-paid Credits.
14.2 Assignment
You may not assign the Agreements without our prior written consent. We may assign the Agreements to an affiliate, to a successor in a merger or acquisition, or to a buyer of substantially all of our assets.
14.3 Entire agreement
The Agreements are the entire agreement between you and us about the Service and supersede any prior or contemporaneous agreements on the same subject.
14.4 No waiver
Our failure to enforce any provision is not a waiver of our right to enforce it later.
14.5 Severability
If any provision is found unenforceable, the remaining provisions remain in full force and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
14.6 Notices
We may send notices to the email address on your account. You must send notices to us at [email protected] with a copy to our registered office.
14.7 Force majeure
Neither party is liable for any failure or delay caused by events beyond reasonable control, including natural disasters, war, strikes, internet or telecom failures, upstream provider outages, or government action.
14.8 Relationship of the parties
Nothing in the Agreements creates a partnership, joint venture, employment, or agency relationship between you and us.
